When two companies wish to explore a business opportunity of mutual interest and in connection with this opportunity, each company may disclose to the other one certain confidential technical and business information which the disclosing party desires the receiving party to treat as confidential, they sign an NDA.
“Disclosing Party” is the party disclosing the Confidential Information and/or the Confidential Materials.
“Receiving Party” is the party in receipt of the Confidential Information and/or the Confidential Materials.
“Confidential Information” means non public information that the Disclosing Party either designates as being confidential or which, under the circumstances surrounding disclosure ought to be treated as confidential. “Confidential Information” includes, without limitation, information relating to released or unreleased Disclosing Party software products, the marketing or promotion of any Disclosing Party product, Disclosing Party's business policies or practices, and information received from others that Disclosing Party is obligated to treat as confidential. Confidential Information disclosed to the Receiving Party by any Disclosing Party subsidiary and/or agents is also covered by this Agreement.
